EU antitrust regulator says received Google proposals

BRUSSELS (Reuters) - Google has presented detailed proposals to allay anti-competitive concerns about its business practices, the EU antitrust regulator said on Friday, in a move which brings the company a step closer to resolving a two-year investigation.

The European Commission has been investigating the world's most popular search engine following complaints from more than a dozen companies, including Microsoft, that Google has used its market power to block rivals.

Asked if he had received Google's proposal to resolve the matter, EU Competition Commissioner Joaquin Almunia told Reuters: "Yes."

He declined to provide details on the proposal, adding only: "We are analyzing it."

The Commission, which acts as competition regulator in the 27-member European Union, is now expected to seek feedback from Google rivals and other interested parties.

Almunia told Google Executive Chairman Eric Schmidt in December his company had until this month to present a comprehensive offer to allay regulatory concerns and stave off a possible fine.

Such a penalty could be as much as 10 percent of global turnover if a company is found to be in breach of EU rules. That could mean $4 billion if there is no satisfactory resolution in Google's case.

The Commission has said Google may have favored its own search services over those of rivals, and copied travel and restaurant reviews from competing sites without permission.

The EU executive is also concerned the company may have put restrictions on advertisers and advertising to prevent them from moving their online campaigns to competing search engines.

Earlier this month, Google won a major victory when U.S. antitrust regulators ended their investigation, saying the company had not manipulated its web search results to block rivals.

CBS to air special on Houston's death and Grammys

LOS ANGELES (AP) ? CBS says it will air a behind-the-scenes look at how Whitney Houston's death affected the 2012 Grammy Awards.

The hour-long special, titled "The Grammys Will Go On: A Death in the Family," is scheduled for Feb. 9, the eve of this year's music awards.

Last year, Grammy producers learned of Houston's death less than 24 hours before the ceremony. The CBS program recounts the scramble to pay tribute to the pop star and revamp the show.

The special includes interviews with LL Cool J, Jennifer Hudson, Bruce Springsteen, Taylor Swift and other artists.

The 48-year-old Houston was found drowned last February in a Beverly Hills hotel bathtub. Coroner's officials ruled her death accidental, with heart disease and cocaine use contributing factors.

The Feb. 10 Grammys will air on CBS.

Astral Foods shares down 7 percent after profit warning

JOHANNESBURG (Reuters) - Shares of Astral Foods dropped more than 7 percent shortly after the South African company said the cost of inputs would slash its first-half headline earnings.

Astral sees headline earnings per share falling by between 75 and 95 percent for the six months to end-March.

Shares were 7.11 percent lower at 94 rand as of 1307GMT.

Appeals court rules Obama's NLRB appointments were illegal ...

In a decision that could invalidate more than a year?s worth of National Labor Relations Board (NLRB) rulings, a federal appeals court on Jan. 25 said President Obama exceeded his constitutional authority when he made three recess appointments to the five-member board.

The problem, according to a panel of the U.S. Court of Appeals for the District of Columbia Circuit: The Senate was not technically in recess on Jan. 4, 2012, when Obama named Sharon Block, Terence F. Flynn and Richard F. Griffin Jr. to the NLRB.

The Obama administration is likely to appeal the case?Noel Canning v. NLRB?to the U.S. Supreme Court, either this spring or, more likely, in the 2013-2014 session. Several other cases in various federal appeals circuits have also challenged the NLRB recess appointments.

Until the Supreme Court acts, NRLB rulings dating from January 2012 still stand. However, if the High Court upholds the D.C. Circuit?s decision, hundreds of rulings in which Block, Flynn and Griffin participated would be thrown out.

The NLRB has been unusually active in the last year, issuing important rulings on:

All could be invalidated. However, NLRB Chair Mark Gaston Pearce said in a statement that the board would continue to meet, hear cases and issue rulings pending completion of the litigation. The board currently has three members?Pearce, Block and Griffin?enough to legally conduct its business.

Senate Republicans had blocked confirmation of Obama?s NLRB appointments in late 2011, leaving the board with just two members, too few to take any official action. But in January 2012, the Senate stopped legislating during a 20-day ?holiday,? although it did not formally adjourn. Instead, Republicans held five-minute pro forma sessions every three days.

Obama moved to fill the NLRB anyway, citing the Constitution?s recess appointments clause, which allows presidents to bypass confirmation proceedings when the Senate is in recess and unable to provide its ?advice and consent? on presidential appointments.

The appeals court panel ruled that Obama lacked the authority to decide what constitutes a recess. It said recess appointments can only occur when the Senate is in formal recess between sessions, not when it is just taking a break. Presidents have used recess appointments to fill government vacancies hundreds of times in United States history, usually after Congress has bottled up nominations.
